These Terms of Use (the “Terms”) govern your access to and use of www.cortenrealestate.com, any subdomains, and any related websites or online services operated by Corten Real Estate Management, LLC (“Corten,” the “Firm,” “we,” “us” or “our”) that link to these Terms (collectively, the “Website”).

Please read these Terms carefully. By accessing or using the Website, you acknowledge that you have read, understood and agree to be bound by these Terms and our Website Privacy Policy, which is incorporated into these Terms by reference.

If you do not agree to these Terms, you should not access or use the Website.

The Website is intended for individuals who are at least 18 years old.

2. About Corten

Corten Real Estate Management, LLC is an investment management firm focused on real estate investments.

Information contained on the Website is provided for general informational purposes only. Nothing on the Website should be construed as creating an advisory, fiduciary, contractual or other relationship between you and Corten or any investment vehicle sponsored or managed by Corten, except pursuant to a separately executed written agreement.

3. No Offer, Solicitation or Investment Advice

The information contained on the Website is provided for general informational purposes only and does not constitute, and should not be construed as:

  1. an offer to sell or a solicitation of an offer to purchase any security, investment product or interest in any investment vehicle;

In the event of any inconsistency between information contained on the Website and the applicable offering or governing documents of an investment vehicle, the offering and governing documents will control.

Corten seeks to provide information that it believes to be accurate and useful. However, information on the Website may contain errors, may become outdated or may be incomplete.

Information regarding markets, investments, properties, portfolio companies or other third parties may have been obtained from sources that Corten believes to be reliable, but Corten does not represent or warrant that such information is accurate, complete or current.

Nothing in these Terms requires Corten to update any information previously posted on the Website.

The Website should not be relied upon as the sole basis for making an investment or other financial decision.

5. Intellectual Property

The Website and its content, including text, graphics, photographs, images, video, audio, logos, trademarks, service marks, trade names, designs, software and other materials (collectively, the “Content”), are owned by or licensed to Corten and are protected by applicable copyright, trademark and other intellectual property laws.

Subject to these Terms, Corten grants you a limited, revocable, non-exclusive and non-transferable right to access and use the Website and Content solely for your personal or internal business purposes.

Except as expressly permitted by Corten in writing, you may not:

You may not use substantial portions of Corten’s proprietary Website Content to train, develop, test or improve artificial intelligence or machine-learning models without Corten’s prior written permission, except to the extent such restriction is prohibited by applicable law.

9. Investor Portals and Third-Party Platforms

Certain investors or other authorized users may be provided access to investor portals, data rooms or other platforms operated by Corten or third-party service providers.

Access to those systems may be governed by additional terms, agreements or confidentiality obligations. If those terms conflict with these Terms with respect to use of the applicable portal or platform, the more specific terms governing that system will control.

You are responsible for maintaining the confidentiality of any credentials provided to you and for promptly notifying Corten if you become aware of unauthorized access to your account or credential.

10. Website Security and Availability

Corten takes reasonable measures designed to protect the Website and its systems. However, no website, network or electronic communication can be guaranteed to be completely secure.

Corten does not warrant that:

CORTEN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND COMPLETENESS.

CORTEN DOES NOT WARRANT THAT THE WEBSITE OR CONTENT WILL MEET YOUR REQUIREMENTS OR THAT YOUR USE OF THE WEBSITE WILL PRODUCE ANY PARTICULAR RESULT.

Nothing in this section is intended to disclaim any duty or liability that cannot lawfully be disclaimed.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CORTEN AND ITS AFFILIATES, AND THEIR RESPECTIVE MEMBERS, PARTNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND REPRESENTATIVES, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE WEBSITE OR ITS CONTENT.

THIS INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM LOSS OF DATA, LOSS OF PROFITS, BUSINESS INTERRUPTION, SECURITY INCIDENTS OR RELIANCE ON INFORMATION CONTAINED ON THE WEBSITE.

TO THE EXTENT APPLICABLE LAW DOES NOT PERMIT A PARTICULAR EXCLUSION OR LIMITATION OF LIABILITY, THAT EXCLUSION OR LIMITATION WILL APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Nothing in these Terms is intended to waive or limit any right or remedy that cannot lawfully be waived or limited.

14. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Corten and its affiliates, and their respective members, partners, officers, directors, employees, agents and representatives, from claims, liabilities, damages, losses and expenses, including reasonable attorneys’ fees, arising from your material violation of these Terms, your unlawful use of the Website or your infringement of a third party’s rights.

15. Compliance with Law

You agree to use the Website in compliance with all applicable laws and regulations.

Corten may take appropriate action in response to suspected unlawful activity or violations of these Terms, including restricting access to the Website and providing information to law-enforcement agencies, regulatory authorities or other appropriate parties when permitted or required by law and consistent with Corten’s Website Privacy Policy.

16. Changes to the Website

Corten may modify, suspend or discontinue all or any portion of the Website at any time.  Corten may also modify or remove Content without notice, subject to applicable law.

Corten may update these Terms from time to time.

When we make changes, we will post the revised Terms on the Website and update the “Last Updated” date. Where required by applicable law, Corten will provide additional notice regarding material changes.

Your continued use of the Website after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

18. Governing Law and Venue

These Terms and any dispute arising out of or relating to these Terms or the Website will be governed by the laws of the State of Delaware, without regard to its conflict-of-law principles.

Subject to applicable law, any legal action arising out of or relating to these Terms or the Website shall be brought in the applicable state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of those courts.

19. Severability

If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law and the remaining provisions will remain in full force and effect.

20. Waiver

Corten’s failure to exercise or enforce any provision of these Terms will not constitute a waiver of that provision or any other right.

21. Entire Agreement

These Terms, together with the Website Privacy Policy and any other terms expressly incorporated by reference, constitute the agreement between you and Corten regarding your use of the Website.

These Terms do not supersede any investment-management agreement, subscription agreement, limited partnership agreement, side letter, confidentiality agreement or other separate written agreement between you and Corten or an investment vehicle managed or sponsored by Corten.

To the extent of a conflict concerning the subject matter governed by such separate agreement, the applicable separate agreement will control.
